Home BancShares to Acquire Mountain Commerce Bancorp for Aggregate Implied Transaction Value of $150.1 Million

Home BancShares (HOMB) and Mountain Commerce Bancorp said jointly Monday they have entered into in a definitive merger agreement, which will result in Home BancShares acquiring Mountain in an all-stock deal with an aggregate implied transaction value of $150.1 million.
The merger is expected to close in H1 of 2026.
Under terms of the agreement, Mountain Commerce shareholders will receive 0.850 shares of Home BancShares stock for each share of Mountain Commerce they own, the companies said.
The companies said the per share implied value is $23.51 based on Home BancShares' volume-weighted average closing price per share of $27.66 during the 20-trading-day period that ended Friday.
