WNS Says Proxy Advisory Firms Back Proposed Acquisition by Capgemini

WNS (WNS) said Tuesday that proxy advisory firms Institutional Shareholder Services and Glass Lewis have each recommended that stockholders vote in favor of the acquisition of the company by Capgemini.

The two firms determined that the proposed deal is in the best interest of WNS shareholders, citing the company's assessment of alternative proposals and implied share price premium, WNS said.

The transaction, which involves a total cash consideration of $3.3 billion excluding WNS net financial debt, is on track to close before year's end, WNS said.
