The grant, effective as of July 31, 2025, is part of the company's 2022 Inducement Stock Incentive Plan. These RSUs will vest over three years, with equal portions vesting on each anniversary of the grant date, contingent upon continued employment. Additionally, the RSUs will fully vest should the employee be terminated without cause, or resign for good reason, within a year following a change in control event.
