Allied Gaming & Entertainment Inc. $(AGAE)$ is currently facing shareholder activism as it approaches its combined 2024/2025 Annual Meeting scheduled for August 4, 2025. Knighted Pastures, LLC, a dissident shareholder group, has proposed six director candidates for election to the board of AGAE. However, Institutional Shareholder Services Inc. (ISS), a leading independent proxy advisory firm, has recommended withholding votes for five of Knighted's nominees, supporting only their candidate Roy Choi. Allied Gaming & Entertainment has expressed concerns over misleading claims made by Knighted Pastures regarding the ISS report. Contrary to Knighted's assertions, ISS has only endorsed one of their candidates, while also recommending against the removal of Yangyang Li, Chairman, CEO, and President of AGAE. ISS emphasized that AGAE's total shareholder return has outperformed peers, and the company's financials, including cash balances, remain robust. The board of Allied Gaming & Entertainment has advised shareholders to vote "FOR" all six of its nominated directors, which includes Jingsheng (Jason) Lu, Guanzhou (Jerry) Qin, Mao Sun, Roy Anderson, Yushi Guo, and Chi Zhao, using the WHITE proxy card.
