Spire Global Inc. has announced a change in its certifying accountant, as PricewaterhouseCoopers LLP (PwC) has resigned as the company's independent registered public accounting firm for the fiscal year ending December 31, 2025. The resignation will take effect following the filing of Spire Global's Quarterly Report on Form 10-Q for the quarter ending June 30, 2025. The company has faced delays in finalizing its condensed consolidated financial statements due to additional accounting activities, including the sale of its maritime business to Kpler Holding SA. Consequently, Spire Global does not expect to meet the filing deadline or the extended period permitted under Rule 12b-25. During previous fiscal years, there were no disagreements between Spire Global and PwC on accounting matters, though PwC's audit reports did express substantial doubt about the company's ability to continue as a going concern.
