Veritex Holdings, Inc. has entered into an Agreement and Plan of Merger with Huntington Bancshares Incorporated. Under the terms of the agreement, Veritex will merge into Huntington, with Huntington continuing as the surviving corporation. Subsequently, Veritex Community Bank will merge into The Huntington National Bank, which will continue as the surviving bank. The Merger Agreement was unanimously approved by the Boards of Directors of both companies. At the effective time of the merger, each share of Veritex common stock will convert into the right to receive 1.95 shares of Huntington common stock.
