The election of directors to the board was approved. The proposal granting the board authority to effect a share consolidation was approved. The repricing and amendment of vesting terms of certain outstanding Stock Appreciation Rights was approved. However, the proposal to grant Stock Appreciation Rights to certain executives was not approved.
