Institutional Shareholder Services is recommending Paramount Global investors vote against the re-election of Chair Shari Redstone and three other board members.
The proxy adviser said Redstone, Barbara Byrne, Linda Griego and Susan Schuman--all members of the governance committee--maintain a problematic capital structure that is not subject to a reasonable time-based sunset provision, according to a report on Monday.
Shareholders were also advised to vote against the re-election of the latter three members for their involvement in the board's compensation committee. ISS cited pay-for-performance concerns, including the mostly time-vesting nature of the company's long-term incentive program, and one-time grants. The relatively large influence of individual performance on annual bonus payouts, the adviser said, was also a concern.
ISS said it now recommends a vote for a proposal amending a non-employee director omnibus stock plan.
