Anywhere Real Estate Inc. has announced a proposed offering of senior secured second lien notes, aiming to issue $500 million in aggregate principal amount. These notes are slated to mature in 2030. The offering is being conducted privately and is exempt from the registration requirements of the Securities Act of 1933. The proceeds from this issuance are intended to repurchase the company's 0.25% exchangeable senior notes due in 2026 and to repay a portion of the outstanding borrowings under the company's revolving credit facility. The notes and related guarantees will not be registered under the Securities Act and are offered only to qualified institutional buyers and outside the United States under Regulation S.
