Centuri Holdings, Inc. has announced a secondary public offering of 9.5 million shares of its common stock, with Southwest Gas Holdings, Inc. as the selling stockholder. Southwest Gas plans to grant underwriters a 30-day option to purchase an additional 1.425 million shares. Concurrently, Southwest Gas has entered into an agreement to sell shares worth $22 million to Icahn Partners and Icahn Partners Master Fund LP in a private placement, contingent on certain conditions. J.P. Morgan and Wells Fargo Securities are leading the offering, with several other financial institutions acting as book-running managers. Centuri will not sell any shares or receive proceeds from the sale.
