Penn Entertainment Inc. has announced its recommendation for two highly-qualified nominees, Johnny Hartnett and Carlos Ruisanchez, for the available director seats at the upcoming 2025 Annual Meeting of Shareholders, scheduled for June 17. The company has aligned its recommendations with those of HG Vora, an investment firm, following a report by Institutional Shareholder Services (ISS). In its response to the ISS report, Penn Entertainment emphasized the importance of having a board optimally comprised to execute its strategic plan for driving shareholder value. Despite ISS's conclusions, Penn Entertainment expressed concerns about the candidacy of former CFO William Clifford, citing his opposition to key initiatives and outdated industry views. The company is urging shareholders to support Hartnett and Ruisanchez, aiming to continue its recent trend of board renewal, with 75% of directors having joined since 2019.
