ONEOK, Inc. has introduced the 2025 Employee Stock Award Program (2025 ESAP) and the 2025 Equity Incentive Plan (2025 EIP), following shareholder approval at the company's Annual Meeting on May 21, 2025. These initiatives aim to reward employees by issuing shares of common stock under specific conditions. The 2025 ESAP grants eligible employees one share of common stock at no cost when certain share price benchmarks are met on the NYSE. The 2025 EIP authorizes the issuance of up to 16,870,000 shares of common stock, plus an additional 2,278,971 shares that were reserved under the previous 2018 EIP. The 2025 EIP replaces the 2018 EIP, and no further awards will be granted under the 2018 EIP moving forward. These plans reflect ONEOK's commitment to aligning employee rewards with company performance.
