ASP Isotopes (ASPI) said Tuesday that it has agreed to acquire South African helium and liquid natural gas producer Renergen.

Under the terms of the deal Renergen shareholders will receive 0.09196 new ASP Isotopes shares for each Renergen share they own, the company said.

ASP Isotopes also said that if the deal fails to meet one of the required closing conditions, ASP will propose acquiring 100% of the issued share capital of Renergen.

Post-merger, Renergen shareholders will own approximately 16% of the combined group, the company said.

The company said it expects the deal to be highly accretive to its revenue, earnings before interest, taxes, depreciation and amortization, earnings per share, and cash flow per share during 2026.

Shares of ASP Isotopes were up more than 13% in recent premarket activity.
