Atlas Energy Solutions (AESI) said Monday it has signed a definitive deal to acquire Moser Acquisition, which provides distributed power solutions, from a Hilltop Holdings (HTH) unit in a $220 million cash-and-share transaction.
Atlas said it will pay $180 million in cash and issue 1.7 million shares, valued at $40 million, for the acquisition. The company can elect to pay the entire transaction consideration in cash, with the final mix of cash and shares to be determined at closing, according to the statement.
The deal is expected to expand Atlas' customer reach and business operations into production and distributed power end markets, the company said. Atlas also estimates the acquisition to be immediately accretive.
Atlas said its board has approved the acquisition, with closing expected by the end of Q1.
In the same statement, Atlas said it expects Q4 revenue of $270 million to $272 million. Analysts polled by FactSet expect $274.9 million.
