SOFTMEDX Announces Completion of Substantial Share Placement by Controlling Shareholder

SOFTMEDX (00648) has announced that the placement of shares by its controlling shareholder, Multi Omniverse Group Limited, has been completed. The company was notified by the selling shareholder on May 15, 2026, that all 445 million company shares held by it, representing approximately 20.8% of the company's issued share capital as of the announcement date, had been placed. The shares were sold to no fewer than six placees at a placement price of HK$0.11 per share.

To the best of the directors' knowledge, information, and belief, after making all reasonable enquiries, each placee and its ultimate beneficial owner (if any) is an independent third party with no connection or concert party relationship to the company or its connected persons. Furthermore, following the completion of the placement, none of the placees has become a major shareholder of the company.

Upon completion of the placement, the selling shareholder's interest in the company decreased from 51.0% to 30.3%. It remains the controlling shareholder of the company.
