Yangtze Optical Fibre and Cable (6869) Announces Proposed Non-Executive Director Change

Yangtze Optical Fibre and Cable Joint Stock Limited Company (YOFC, Stock Code: 6869) announced on October 30, 2025, that non-executive director Mr. Xiong Xiangfeng has resigned with immediate effect due to retirement. According to the announcement, Mr. Xiong’s departure does not affect the normal operation of the board or the minimum statutory requirement for board members, and he has confirmed no disagreement with the board.

Following Mr. Xiong’s resignation, the company proposed appointing Mr. Qiu Xiangping as a non-executive director, subject to approval at a general shareholders’ meeting. Mr. Qiu has been serving as secretary of the party committee and chairman of the board of Wuhan Yangtze Communications Industry Group Co., Ltd. (Yangtze Communications), one of YOFC’s substantial shareholders, and has held various leadership positions since 2020. If approved, he will serve for the remainder of the current board session, receiving an annual director’s fee of RMB380,000 (after tax), proportional to his time in service.

Mr. Qiu, aged 47, has a background in electronic information technology and business administration from reputable institutions. He confirms no existing relationships with board members, senior management, or major shareholders of YOFC beyond what has been disclosed. No other matters require further disclosure under the applicable listing rules.
