GENCH EDU sets 8 May 2026 AGM; proposes HK$0.04 dividend, board re-elections and refreshed mandates

Shanghai Gench Education Group Limited (GENCH EDU) has issued the proxy circular for its annual general meeting scheduled for 1:30 p.m. on 8 May 2026 at Shanghai Jian Qiao University, Pudong.

Shareholders will vote on the following key items:

1. FY2025 Results • Receive and consider the audited financial statements and accompanying reports for the year ended 31 December 2025.

2. Dividend Proposal • Final dividend of HK$0.04 (approximately RMB0.035) per ordinary share, to be paid out of the share premium account.

3. Board Composition • Re-election of four directors: Mr. Ye Qionghai, Ms. Zhao Jiaqiao, Mr. Fang Xiaoge and Mr. Hu Rongen. • Authorisation for the board to determine directors’ remuneration.

4. Auditor • Re-appointment of Ernst & Young as the Company’s external auditor, with fee authority delegated to the board.

5. Capital Management Mandates • General mandate to issue new shares. • General mandate to repurchase shares. • Extension of the share-issue mandate by the number of shares repurchased under the above authority.

Proxy forms must be lodged with Computershare Hong Kong Investor Services by 1:30 p.m. on 6 May 2026 to be valid for the meeting.
