Antengene Corporation Limited announced that effective 10 June 2026, Mr. Yang Cao and Mr. Wai Chiu Wong have stepped down as joint company secretaries. Mr. Cao will continue to serve as Corporate Vice President overseeing the Group’s capital-markets activities. Both departing officers confirmed no disagreement with the board and reported no other matters requiring shareholder or Stock Exchange attention.
The board simultaneously appointed Ms. Ying Liu and Ms. Chin Hei Lam as the new joint company secretaries. Ms. Liu, currently Senior Legal Manager, brings nearly a decade of legal and compliance experience, including seven years within the pharmaceutical and biotechnology sector. She joined Antengene in June 2019 and previously contributed to the company’s Hong Kong initial public offering and multiple cross-border transactions. Ms. Liu holds a Bachelor and Master of Law in International Law from East China University of Political Science and Law and possesses the PRC Legal Professional Qualification Certificate.
Ms. Lam is a Corporate Secretarial Executive at SWCS Corporate Services Group (Hong Kong) Limited with more than five years of corporate-secretarial experience. She is an associate member of both The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (UK). Ms. Lam earned a Bachelor of Business Administration in Finance from City University of Hong Kong and a Master of Law in International Economic Law from The Chinese University of Hong Kong. She meets the professional qualification requirements set out in Hong Kong Listing Rules 3.28 and 8.17.
Because Ms. Liu does not yet satisfy the formal company-secretary qualifications under Listing Rule 3.28, Antengene obtained a waiver from the Hong Kong Stock Exchange covering a three-year period from 10 June 2026. Conditions include:
1. Ms. Liu will be assisted by the qualified Ms. Lam throughout the waiver period. 2. The waiver may be revoked if Antengene commits a material breach of the Listing Rules. 3. Prior to waiver expiry, Antengene must demonstrate that Ms. Liu has gained sufficient experience to fulfill the Listing Rule requirements without further relief.
The board expressed appreciation for the contributions of Mr. Cao and Mr. Wong and welcomed the newly appointed joint company secretaries. Current board composition remains unchanged, led by Chairman Dr. Jay Mei alongside executive directors Dr. Jay Mei and Mr. Donald Andrew Lung, and independent non-executive directors Ms. Jing Qian, Mr. Sheng Tang and Dr. Rafael Fonseca.
