WeRide Inc. Announces 2026 Share Plan

WeRide Inc. published details of its 2026 Share Plan, aiming to attract, incentivize, and retain employees, outside directors, and consultants by granting options and restricted share units (RSUs). The plan will become effective upon shareholder approval and is administered according to applicable laws and Hong Kong Stock Exchange requirements.

A maximum of 10% of the company’s outstanding ordinary shares shall be available for issuance under the plan, with an additional 1% sub-limit specifically designated for consultants. The plan governs vesting periods, which generally cannot be shorter than one year, though limited exceptions are allowed. Terminations under certain conditions, plan amendments, and restrictions on transfer are all outlined in the policy. The plan’s duration extends for 10 years from the date it is adopted by the board of directors, unless amended or terminated earlier in accordance with its terms.
