ENN Energy Holdings: Privatisation Scheme and BlackRock Share Dealings

On 23 February 2026, a disclosure was made under Rule 22 of the Hong Kong Code on Takeovers and Mergers regarding the privatisation by way of scheme of arrangement for ENN Energy Holdings Ltd. The information involved dealings in the offeree company’s shares by BlackRock, Inc., a Class (6) associate based on its ordinary shareholdings in the company.

BlackRock, Inc. reported that on 20 February 2026, it sold 376 shares at US$69.15 per share, bringing its resultant holding to 61.24 million shares, equivalent to 5.4111%. On the same day, it purchased 1.57 million shares at US$69.15 per share, resulting in a new balance of 62.81 million shares, which represents 5.5498% of the class.

These transactions were executed on a US exchange and were made on behalf of discretionary investment clients.
