Riverine China: AGM Clears All Resolutions with 100% Support, Confirms Board and Audit Mandates

Riverine China Holdings Limited reported that every resolution tabled at its 11 June 2026 annual general meeting (AGM) secured full shareholder approval by poll, underscoring solid investor backing for the group’s governance and capital-management agenda.

Voting turnout and structure • Total share capital entitled to vote: 405.00 million shares • Votes cast on each resolution: 259.56 million shares, representing 64.10% of issued shares • All resolutions received 100% votes “FOR”, with zero votes “AGAINST” or abstentions

Key resolutions passed 1. Adoption of the audited consolidated financial statements and directors’ and auditors’ reports for the year ended 31 December 2025. 2. Re-election of executive directors Mr Fu Qichang, Mr Xiao Yuqiao and Ms Wang Hui; authorisation for the Board to determine directors’ remuneration. 3. Re-appointment of Ernst & Young as external auditors, with remuneration to be set by the Board. 4. Granting of a general mandate allowing the Board to issue new shares— including sales or transfers of treasury shares—up to 20% of the Company’s issued share capital (excluding treasury shares) as at the date of the AGM. 5. Authorisation for the Company to repurchase up to 10% of its issued share capital (excluding treasury shares). 6. Extension of the share-issuance mandate to include shares that may be repurchased under the above authority.

Board and meeting attendance All directors—comprising four executive, one non-executive, and three independent non-executive members—participated in the AGM, either in person or via electronic means.

Administrative details Tricor Investor Services Limited acted as the meeting scrutineer, validating the poll process and results.

With unanimous shareholder endorsement across governance, audit and capital-management items, Riverine China enters the new financial year with fully renewed authorities and an unchanged board composition.
