Vertiv Holdings, a data center power equipment manufacturer, announced on Monday its plan to acquire HVAC services provider PurgeRite Intermediate for approximately $1 billion. The move aims to expand the company's liquid cooling service offerings.

The company's shares rose 1.5% in pre-market trading.

The acquisition, being sold by private equity firm Milton Street Capital, is expected to close in the fourth quarter of 2025.

The deal comes as the AI boom increases strain on power grids, prompting data center operators to adopt more efficient, lower-emission designs—such as liquid cooling and natural air cooling—to reduce energy and water consumption.

On the same day, Vertiv's competitor Eaton announced a $9.5 billion acquisition of Boyd Corporation's thermal management business, which includes Boyd's liquid cooling technology.

PurgeRite specializes in mechanical flushing, purification, and filtration services for HVAC systems in data centers as well as industrial and commercial facilities.
