NIRAKU (01245) Subsidiary Acquires Japanese Pachinko Game Halls

NIRAKU (01245) announced that on September 30, 2025 (after trading hours), Niraku (a wholly-owned subsidiary of the company) entered into an agreement with GAIA (an independent third party), whereby GAIA (as the spin-off company) agreed to transfer the target business to Niraku (as the receiving company) through incorporation of the company spin-off for consideration. The target business involves GAIA's operation of two Japanese pachinko game halls in Tochigi Prefecture, Japan.

The announcement stated that operating pachinko game halls is an important cornerstone of the group's business strategy. Leveraging Japan's continued economic recovery momentum, the group believes that the strong performance of smart gaming machines in the market presents a key opportunity for business growth, and has actively made capital investments to capitalize on this trend. To enhance future corporate performance, the group is strategically expanding its business by opening new game halls in markets with strong demand and high growth potential.

As part of its long-term business plan, the group will regularly invest in developing new game halls and acquire existing pachinko game halls to ensure that the gaming business can generate stable revenue sources.
