Hong Kong – Liaoning Port Co., Ltd. announced the appointment of Qu Shaoyong and Leung Chi Kit as Joint Company Secretaries effective 26 March 2026. Qu Shaoyong will additionally serve as the company’s authorised representative under Rule 3.05 of the Hong Kong Listing Rules and as the process agent in Hong Kong under Part 16 of the Companies Ordinance.
The Stock Exchange of Hong Kong granted Liaoning Port a waiver from strict compliance with Listing Rules 3.28 and 8.17 for a period of three years. During this period Qu Shaoyong, who does not currently meet the professional qualifications stipulated in Rule 3.28, will perform company secretarial duties under the guidance of qualified co-secretary Leung Chi Kit. The waiver is subject to the following conditions: 1) assistance from Leung Chi Kit throughout the waiver period; 2) revocation if Liaoning Port commits material breaches of the Listing Rules; and 3) disclosure of the waiver’s terms, together with the appointees’ qualifications and experience.
Before the waiver expires, Liaoning Port must demonstrate to the Stock Exchange that Qu Shaoyong has acquired the requisite experience to act independently as company secretary.
Biographical highlights of the appointees: • Qu Shaoyong, born October 1973, holds a bachelor’s degree in economics and an MBA from Dongbei University of Finance and Economics. He has extensive capital-operations and governance experience within the Group and is currently Board Secretary and Head of the Board Office. • Leung Chi Kit, born 1981, is an associate member of both The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (UK). With over 12 years of company secretarial experience, he currently serves as (joint) company secretary for several Hong Kong-listed companies and is a manager in the company secretarial services department at TMF Hong Kong Limited.
The Board welcomed the appointments, which follow the earlier resignation of former company secretary Wang Huiying announced on 26 January 2026. Liaoning Port’s Board composition remains unchanged, chaired by Li Guofeng.
