S ROBOT EDU (08206) has issued a public notice detailing its board's recommendation for a share consolidation. Under the proposed plan, every 50 existing issued and unissued shares, each carrying a par value of HK$0.01, will be merged into a single consolidated share with a par value of HK$0.50.

As of August 31, 2026, following the market close, the company, along with Shenzhou Communication Investment and Copious, entered into a subscription agreement. Per this agreement, the company conditionally agreed to issue 17.36 million consolidated shares at a price of HK$3.75 per share to Shenzhou Communication Investment. The payment for these shares will be satisfied by offsetting an outstanding receivable of HK$65.1 million from Shenzhou Communication Investment, which stood at HK$95.6642 million as of the agreement's date. Upon completion, the capitalized amount will be considered fully repaid by the group to Shenzhou Communication Investment, thereby releasing Copious from its obligations regarding that amount to Shenzhou Communication Investment.

Consequently, the total payable to Shenzhou Communication Investment will be reduced by the capitalized sum. Following the transaction's conclusion, the outstanding balance payable to Shenzhou Communication Investment is projected to decrease to HK$30.5642 million.
