China Dongxiang appoints Banu International founder Du Zhongbing as Independent Non-Executive Director; updates Audit and ESG committees

China Dongxiang (Group) Co., Ltd. announced the appointment of Mr. Du Zhongbing as an Independent Non-Executive Director, effective 13 April 2026.

Mr. Du, 52, is the founder, executive director and chairman of Banu International Holding Ltd., best known for establishing Banu Hotpot in 2001. His appointment adds strategic management expertise to the board and enhances its diversity.

Key terms of engagement • Initial term: one year, commencing 13 April 2026 • Annual director’s fee: HK$0.22 million, based on recommendations from the Remuneration Committee • Re-election: Mr. Du will retire and be eligible for re-election at the next general meeting

Independence and shareholding Mr. Du meets the independence criteria under Rule 3.13 of the Hong Kong Listing Rules, holds no shares in China Dongxiang, and has no financial or familial ties with the Group or its connected persons.

Committee assignments Concurrent with his board appointment, Mr. Du joins both the Audit Committee and the Environmental, Social and Governance Committee, effective 13 April 2026.

Board composition after the changes Executive Directors: Chen Yihong (Chairman), Chen Chen, Lyu Guanghong Independent Non-Executive Directors: Gao Yu, Tang Songlian, Zhou Zhiyi, Du Zhongbing
