Holly Futures (3678) Announces First 2026 ESM Poll Results and Board Reshuffle

Holly Futures (3678) held its first Extraordinary Shareholders’ Meeting (ESM) for 2026 on 3 March 2026. According to the announcement, a total of 1.01 billion shares were in issue, comprising 758.08 million A Shares and 249.70 million H Shares. The meeting saw participation from 349 shareholders, collectively holding 487.12 million shares (48.34% of the issued total), with 486.11 million A Shares and 1.01 million H Shares represented.

During the meeting, the ordinary resolution to appoint Wang Yuwei as an independent non-executive director was approved, receiving 486.77 million votes in favor (99.93%), 0.23 million votes against (0.05%), and 0.13 million abstentions (0.03%). As a result, Wang Yuwei replaced the outgoing independent non-executive director, effective immediately. The newly appointed director will receive an annual emolument of HKD120,000 (after taxation).

Following this appointment, the composition of Holly Futures’ board committees was updated. Changes took effect in the Audit Committee, Remuneration Committee, Nomination Committee, Risk Management Committee, and Strategic and ESG Committee to reflect Wang Yuwei’s inclusion.

All procedures, including voting, were witnessed by independent scrutineers and lawyers. The resolution passed at the ESM was confirmed to be legally valid based on the meeting’s compliance with the relevant laws, regulations, and the Articles of Association.
