3SBio Inc. (Stock Code: 01530) disclosed that its wholly owned subsidiary, Mandi Inc., approved the issuance of 640 new shares as part of the Mandi Equity Incentive Plan on October 20, 2025. These shares will be awarded to selected participants, including Mandi Group Limited (290 shares) and Hero Grand Management Limited (350 shares), at a consideration of US$1.0 per share.

Upon completion, the newly issued shares will represent approximately 6.4% of Mandi’s enlarged share capital. Consequently, 3SBio Inc.’s effective ownership in Mandi will decrease from 100% to 93.6%, and Mandi will remain a subsidiary of 3SBio Inc.

Hero Grand Management Limited is ultimately owned by a trust in which a Director and substantial shareholder of 3SBio Inc., Dr. Lou Jing, is the settlor, protector, and one of the beneficiaries. Accordingly, the grant to Hero Grand constitutes a connected transaction under the Listing Rules. Relevant disclosure requirements have been met, and the transaction is exempted from circular and independent shareholders’ approval. The equity awards also represent a deemed disposal under Chapter 14 of the Listing Rules, though no additional approval requirements apply.

3SBio Inc. stated that the equity award seeks to recognize and reward contributors to Mandi Inc. and the broader group, enhancing business sustainability and stability. All new shares will rank pari passu with existing Mandi shares once fully paid, conferring the right to receive dividends and distributions after the date of allotment.
