Hua Hong Semi Sets 14 May 2026 AGM; Proposes 2025 Profit Distribution, 10% Buy-back Mandate and Corporate Rebranding

Hua Hong Semiconductor Limited (Hua Hong Semi) has issued a notice to convene its Annual General Meeting (AGM) on 14 May 2026 at 2:30 p.m. at Conrad Hong Kong, Pacific Place. Key items up for shareholder approval are as follows:

• Financial Statements & Profit Distribution – Shareholders will vote to adopt the audited consolidated financial statements for the year ended 31 December 2025 and to approve the accompanying profit distribution plan.

• Board Composition & Remuneration – Re-election of three directors: non-executive director Ms. Chengyan Xiong and independent non-executive directors Mr. Kwai Huen Wong, JP and Mr. Songlin Feng. – Authorisation for the Board to determine directors’ remuneration.

• Auditor Re-appointment – Proposal to re-appoint Ernst & Young as external auditor and authorise the Board to fix its fees.

• Share Capital Mandates – Repurchase Mandate: Board empowered to buy back up to 10% of issued Hong Kong-listed shares (excluding treasury shares) during the mandate period, subject to Hong Kong Listing Rules. – Issuance Mandate: Board authorised to allot or issue up to 20% of issued Hong Kong shares and 20% of issued RMB shares, with an additional 10% extension linked to any shares repurchased.

• Corporate Rebranding & New Articles – Special resolutions seek to change the company’s Chinese name to “華虹宏力半導體有限公司” and English name to “Hua Hong Grace Semiconductor Limited”, contingent on approval by the Hong Kong Registrar of Companies. – Adoption of a new set of articles of association following the proposed name change.

• Administrative Details – The share register will be closed from 11 May 2026 to 14 May 2026 (both dates inclusive). Transfers for voting eligibility must be lodged by 4:30 p.m. on 8 May 2026. – All AGM resolutions will be decided by poll, with results published on the Hong Kong Exchanges’ website.

Hua Hong Semi’s Board is chaired by Executive Director Mr. Peng Bai. Non-executive directors are Mr. Jun Ye, Mr. Guodong Sun, Mr. Bo Chen and Ms. Chengyan Xiong. Independent non-executive directors are Mr. Stephen Tso Tung Chang, Mr. Kwai Huen Wong, JP and Mr. Songlin Feng.
