CSC (06066.HK) Calls 31 Mar 2026 EGM to Elect New Non-Executive Director and Renew 3.5x Net-Asset Debt Issuance Mandate

CSC Financial Co., Ltd. (stock code: 06066) has issued a circular dated 11 March 2026 convening its 2026 First Extraordinary General Meeting (EGM) for 31 March 2026 in Beijing.

The Board will seek shareholder approval for two key items:

1. Election of Non-Executive Director • Beijing Financial Holdings Group Limited has nominated Dr. Dong Hongfu, currently General Counsel and Chief Compliance Officer of Beijing Financial Holdings Group, as a Non-Executive Director for the remainder of CSC’s third Board term. • Dong, born October 1968, holds a PhD in Finance from the Graduate School of the Chinese Academy of Social Sciences and is a certified senior economist. He previously served in senior roles at the People’s Bank of China and the State Administration of Foreign Exchange. Dong owns no CSC shares and will not receive director’s fees.

2. Renewal of General Mandate for Onshore and Offshore Debt Financing • The existing mandate, approved in April 2023, expires on 4 April 2026; the Board proposes a fresh 36-month authorisation. • Aggregate outstanding onshore and offshore debt instruments—encompassing corporate bonds, short-term and medium-term notes, subordinated (including perpetual) bonds, asset-backed securities and other permissible products—may not exceed 3.5 times CSC’s latest consolidated net assets. • Individual issues may carry maturities up to 15 years, except for perpetual instruments. • Aggregate guarantees, keepwell deeds or similar credit-enhancement commitments are capped at 40% of the latest consolidated net assets. • Proceeds may be used to optimise the debt structure, refinance maturing obligations, supplement working capital and support business development, in line with regulatory ratios for leverage, liquidity and risk control. • The Board—and, by delegation, senior management—will be empowered to determine instrument type, currency, size, pricing, timing, listing venue and other issuance terms.

The EGM will be conducted by poll. The H-share register will be closed from 26–31 March 2026; shareholders recorded on 31 March are eligible to vote.
