CMBC CAPITAL (01141) has announced that its wholly-owned subsidiary, CMBC Investment (Hong Kong), has subscribed for securities issued by MINMETALS CAPITALS & SECURITIES, INC. through a lead manager. Following the close of trading on December 8, 2025, the order was confirmed and CMBC Investment (Hong Kong) was allocated the securities, with a total subscription amount of $1 million (approximately HK$7.806 million) and a total cost of $1 million (approximately HK$7.806 million), excluding transaction fees. On February 4, 2026, CMBC Investment (Hong Kong) purchased securities with a total principal amount of $11.41 million (approximately HK$89.0665 million) in the over-the-counter market, for a total consideration of approximately $11.4892 million (approximately HK$89.6847 million). The Group subscribed for and purchased the securities for investment purposes. The Directors believe that the Subscription and the Purchase provide the Group with an opportunity to achieve a balanced and diversified investment portfolio, generating stable returns. The Subscription and the Purchase are in line with the Group's investment strategy. The Directors consider the terms of the Subscription and the Purchase to be fair and reasonable, and in the overall best interests of the Company and its shareholders.
