On 18 March 2026, Ming Yuan Cloud Group Holdings Limited (Stock Code: 00909) disclosed a leadership transition within its corporate governance team and obtained a conditional waiver from Hong Kong Exchanges and Clearing Limited (HKEX).

The Board reported that Joint Company Secretaries Ms. Xiao Zhimiao and Ms. Leung Shui Bing will step down effective 18 March 2026. Both departing executives confirmed there were no disagreements with the Board and no matters requiring shareholder attention.

To ensure continuity, the Company appointed Mr. Zou You as Joint Company Secretary and Authorised Representative, and Ms. Li Chiao Ling as Joint Company Secretary, also effective 18 March 2026. Mr. Zou, who joined the Group in April 2022 and currently leads Investor Relations, holds finance and economics degrees from Shenzhen University. Ms. Li, a manager at TMF Hong Kong Limited, brings more than 15 years of company secretarial experience and is an associate member of The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (UK).

Because Mr. Zou does not yet meet the professional qualification or experience criteria under Listing Rules 3.28 and 8.17, the Company sought and received a waiver from HKEX. The waiver extends for three years from 18 March 2026, on the conditions that: 1) Mr. Zou will be assisted by Ms. Li during the period, and 2) HKEX may revoke the waiver in the event of material Listing Rule breaches.

Prior to the waiver’s expiry, the Company must demonstrate that Mr. Zou has gained sufficient experience to fulfill the company secretary role independently.

The Board expressed gratitude to Ms. Xiao and Ms. Leung for their contributions and welcomed Mr. Zou and Ms. Li to their new positions.
