Bonjour Holdings Enlarges Share Base by 86 Million via HK$0.07 Subscription, Issued Shares Reach 1.87 Billion

For the month ended 31 March 2026, Bonjour Holdings Limited (Bonjour Holdings) reported an 86.00 million-share increase in its issued ordinary share capital, lifting the total from 1.79 billion to 1.87 billion shares. The additional equity was allotted on 23 March 2026 under a general mandate through a subscription priced at HK$0.07 per share, implying gross proceeds of approximately HK$6.02 million.

The company’s authorised share capital remained unchanged at 10.00 billion ordinary shares with a par value of HK$0.01, equivalent to HK$100.00 million. Bonjour Holdings confirmed that its public float continued to meet the Main Board’s minimum 25% requirement as at month-end.

No treasury shares were held or cancelled during the period. Outstanding equity instruments capable of further diluting the share base include:

• Share Option Scheme (adopted 24 May 2019): 17.06 million options outstanding, unchanged during the month. • Listed warrants (issued 29 June 2022, code undisclosed): HK$110.50 million nominal value, exercisable at HK$3.396 per share and expiring on 9 April 2026, with 32.54 million shares still issuable upon full exercise.

No movements were recorded for convertibles or other share-linked instruments.

Following the subscription, Bonjour Holdings’ total issued share capital stands at 1.87 billion shares, while the authorised limit provides headroom of approximately 8.13 billion shares for future issuances.
