HSBC Grants 7.87 Million Employee Share Options at 19.6% Discount

HSBC Holdings plc (HSBC) disclosed that on 23 September 2026 it awarded 7.87 million share options to employees under the HSBC Holdings Savings-Related Share Option Plan (UK).

The options carry a fixed exercise price of GBP 12.17, a 19.6% discount to the same-day London Stock Exchange closing price of GBP 15.146. The grant is divided into: • 6.53 million options with a three-year savings term. • 1.34 million options with a five-year savings term.

Vesting begins after completion of the relevant savings period. The three-year tranche is exercisable from 1 November 2029 to 30 April 2030, while the five-year tranche can be exercised from 3 November 2031 to 30 April 2032. All options must be exercised within six months of vesting.

The plan is exempt from performance conditions and clawback provisions under applicable UK tax rules, and the company will not provide financial assistance for the option exercise.

Capacity under the plan remains significant. After this grant, HSBC can still issue up to: • 1.11 billion shares within the 10% rolling limit of issued share capital; • 1.99 billion shares under the 10% shareholder-approved cap (excluding treasury shares); and • 4.14 billion shares within the overall 4.68 billion share ceiling of the plan.

The announcement was authorised by Group Company Secretary Angela McEntee and lists HSBC’s current board, chaired by Independent Non-Executive Chairman Brendan Robert Nelson.
