Hong Kong & China Gas Company Limited (stock code: 00003) has announced a proposal to replace its existing Articles of Association with a new set, subject to shareholder approval via special resolution at the Annual General Meeting scheduled for 1 June 2026.
The proposed new Articles of Association aim to align the company’s governance framework with recent regulatory developments:
1. Compliance with Hong Kong’s Companies Ordinance (Chapter 622) by introducing a treasury share regime and an implied-consent mechanism for disseminating corporate communications through the company’s website.
2. Incorporation of latest Listing Rules revisions that promote a paperless listing environment, enabling electronic communications from shareholders and electronic distribution of corporate action proceeds.
3. Provision for the conduct of fully virtual general meetings, expanding participation options beyond physical and hybrid formats.
4. Housekeeping and consequential updates to ensure consistency with current Listing Rules and statutory requirements.
