E-House (China) Enterprise Holdings Limited (Stock Code: 2048) formally issued updated Terms of Reference for its Nomination Committee, outlining its mandate to identify and recommend suitable director candidates, oversee Board performance evaluation, and establish nomination guidelines compliant with relevant laws and regulations.

The Terms of Reference state that the committee should comprise a majority of independent non-executive directors, including at least one member of a different gender. The chair must either be the Board chair or an independent non-executive director. The committee is required to meet at least once annually, maintain meeting minutes, and submit reports and recommendations to the Board.

According to the announcement, the committee holds the authority to determine procedures and criteria for recommending Board candidates and can access management or seek external professional advice as needed.
