Hong Kong, 22 May 2026—GCL New Energy (00451) announced that all items on the agenda of its Annual General Meeting (AGM) were approved by shareholders through poll voting, with support ratios ranging from 98.00 % to 99.99 %.

The company recorded 421.78 million voting shares, representing approximately 23.79 % of its 1.77 billion issued shares. There were no voting restrictions or abstentions disclosed, and all directors were present. Tricor Investor Services Limited acted as the scrutineer.

1. Financial Statements and Auditor • Adoption of the 2025 audited consolidated financial statements received 99.99 % approval (421.78 million shares in favour, 0.05 million against). • Crowe (HK) CPA Limited was re-appointed as auditor with an identical 99.99 % approval rate.

2. Board Composition and Remuneration • Nine directors—Mr. Zhu Gongshan, Mr. Huang Wei, Mr. Yeung Man Chung (Charles), Mr. Fang Jiancai, Mr. Nie Wenhua, Mr. Hu Guowen and Ms. Zhao Limei—were re-elected with support between 99.37 % and 99.99 %. • The Board was authorised to fix directors’ remuneration, securing 99.99 % approval.

3. Share Capital Mandates • General mandate to issue additional shares: 98.00 % approval (413.38 million for, 8.45 million against). • Share repurchase mandate: 99.99 % approval. • Extension of the general issue mandate by the amount of repurchased shares: 98.00 % approval.

4. Share Award Scheme • The adoption of a new Share Award Scheme gained 98.00 % shareholder support.

5. Special Resolution—Company Name Change • The proposal to change the company name passed with 99.99 % approval (421.24 million for, 0.05 million against), easily surpassing the 75 % threshold required for special resolutions.

All approvals enable GCL New Energy to maintain its current board structure, pursue capital-raising flexibility, implement employee incentives, and proceed with rebranding, subject to regulatory filings.
