Harbin Bank Co., Ltd. has reported a proposed adjustment to the composition of its Board of Directors. According to the announcement, the largest shareholder, Harbin Economic Development and Investment Company Limited, will not nominate current Non-Executive Director, Mr. Zhang Xianjun, for the Ninth Session of the Board due to his work relocation. In his place, Mr. Du Xiaoquan has been nominated as a candidate for Non-Executive Director.

Mr. Zhang will continue performing his duties until Mr. Du’s appointment takes effect, pending approval by shareholders at a general meeting and by the Heilongjiang Office of the National Financial Regulatory Administration. Upon approval, Mr. Du will serve from the date of regulatory clearance until the end of the Ninth Session of the Board. He will receive a director’s fee and subsidy calculated in accordance with the Company’s regulations.

Mr. Du, age 50, has been serving as the deputy secretary of the Party Committee, director, and general manager of Harbin Investment Group Corporation Limited since January 2025. His past roles include positions within Harbin Investment Group from November 2024 to January 2025 and various leadership roles at Harbin Municipal Finance Bureau from November 2020 to November 2024. He holds a Bachelor’s degree in economics from Harbin University of Science and Technology.

The Board expressed appreciation for Mr. Zhang’s diligent service and confirmed that Mr. Zhang has no disagreements with the Board and no matters relating to his resignation need to be brought to the attention of shareholders or creditors.
