China CITIC Bank Announces Poll Results of 2025 Third EGM and Interim Dividend

On 30 October 2025, China CITIC Bank Corporation Limited (the Bank) held its Third Extraordinary General Meeting of 2025 (the 2025 Third EGM). The meeting, convened in accordance with applicable laws and regulations, recorded an attendance representing approximately 79.123352% of the Bank’s total voting shares. The sole resolution on the 2025 Interim Profit Distribution Plan was passed as an ordinary resolution.

The interim dividend plan allocates RMB1.88 (tax inclusive) per 10 shares, based on a total of 55,645,162,264 shares, amounting to approximately RMB10.46 billion in total cash dividends. Payment will be made in RMB to A-shareholders, and in either RMB or Hong Kong dollars to H-shareholders, with the actual HKD amount calculated according to the average benchmark exchange rate published by the People’s Bank of China one week before the EGM date.

The Bank’s H-share register will be closed from 5 November 2025 to 10 November 2025, and shareholders on record by 10 November 2025 will be entitled to receive the interim dividend. For tax purposes, relevant individual and enterprise income tax regulations and arrangements for overseas shareholders will be enforced at the prevailing rates.

According to the Bank’s PRC legal adviser East & Concord Partners, the meeting’s procedures and results complied with applicable legal requirements, and the resolution formed at the 2025 Third EGM is deemed lawful and valid.
