EDA GROUP HLDGS (02505) Announces Major Lease Transaction for New Jersey Facility

EDA Group Holdings Limited (the "Company") announced a major transaction involving a lease agreement dated 6 March 2026 (U.S. time) between its wholly owned subsidiary, EDA Cloud International, Inc. (the Tenant), the Company and EDA International Inc. (as lease guarantors), and SANSONE URBAN RENEWAL ENTITY I, LLC (the Landlord). The lease covers approximately 457,159 square feet in Palmyra, New Jersey, to be used for warehouse storage and distribution, plus ancillary office uses. The term runs for 130 months commencing on 1 April 2026, with a total base rent of about US$62.80 million (equivalent to RMB433.80 million), an average annual increase of around 3.50%, and a security deposit of roughly US$1.60 million (about RMB11.00 million). The arrangement also includes additional rent items such as taxes, utilities, and other operating costs, with the Tenant’s share at about 65.08%.

Under HKFRS 16, the right-of-use assets to be recognized are approximately US$45.50 million (around RMB314.00 million). This transaction constitutes a major transaction under Chapter 14 of the Listing Rules. Shareholder approval was obtained through written consent from key stakeholders holding around 57.90% of the Company’s issued share capital, thereby negating the need for a general meeting. A circular containing further details is expected to be dispatched on or before 27 March 2026.
