Smart Fish Wealthlink Holdings Limited (139) Announces Discloseable Transaction: Acquisition of CMBC Capital Shares (1141)

Smart Fish Wealthlink Holdings Limited (139) announced the purchase of 10.05 million shares in CMBC Capital Holdings Limited (1141) on the open market on February 25, 2026. The total consideration for this acquisition was HK$16.08 million (excluding transaction costs), averaging HK$1.60 per share. Including transaction costs, the overall payment reached HK$16.10 million, financed through existing financial resources.

This latest acquisition constitutes approximately 0.92% of CMBC Capital’s issued share capital. Together with previous acquisitions totaling 17.42 million shares between February 23, 2025, and February 23, 2026 (amounting to HK$26.46 million), the Group now holds 35.92 million CMBC Capital shares, representing about 3.27% of its issued share capital.

According to the announcement, CMBC Capital is principally engaged in securities business, investment and financing, as well as asset management and advisory services. Its net asset value stood at HK$1.25 billion as of December 31, 2023, and HK$1.39 billion as of December 31, 2024. The Board views the investment in CMBC Capital as an opportunity to strengthen its portfolio with quality assets.

Under the Listing Rules, these transactions exceed the 5% threshold but stay below 25%, classifying the acquisitions as a discloseable transaction. The Group may consider further acquisitions of CMBC Capital shares on the market, subject to the relevant listing requirements.
