Elife Holdings Limited (the "Company") has announced a postponement of its Annual General Meeting (AGM) originally planned for 30 January 2026. The rescheduled meeting is now set to take place on 6 March 2026 at 11:30 a.m., with the venue unchanged at Unit 806, Level 8, Core D, Cyberport 3, 100 Cyberport Road, Hong Kong. According to the Company’s statement, all resolutions outlined in the original notice remain unchanged.

The book closure period for determining shareholders’ eligibility to attend and vote at the AGM has been adjusted to span from 3 March 2026 to 6 March 2026 (both days inclusive). The record date is 6 March 2026, and transfers accompanied by relevant share certificates must be lodged with Tricor Investor Services Limited by 4:30 p.m. on 2 March 2026.

The proxy form originally circulated remains valid, provided that shareholders are registered as of the new record date. If shareholders wish to revise their proxies, the Company will accept updated proxy forms submitted at least 48 hours before the start of the rescheduled meeting.

In addition, the definition of the “Latest Practicable Date” used in the Company’s previous AGM Circular is now updated to 4 February 2026. Certain shareholding figures and share price information cited in the circular have been revised accordingly, but other content remains unchanged.

The Extraordinary General Meeting (EGM) originally announced on 15 January 2026 is postponed sine die, rendering the previous EGM circular and proxy forms ineffective. The Company plans to convene a new EGM on 6 March 2026 at 10:30 a.m. to consider and, if deemed appropriate, approve matters relating to the Placing Agreement and related transactions.
