Fire Rock Holdings Limited held an Extraordinary General Meeting (EGM) on 7 November 2025. The Company reported that, as of the EGM date, it had 192,000,000 issued shares, with shareholders holding a total of 15,324,101 shares (approximately 8.0% of the issued share capital) attending in person, by proxy, or by authorized representative.
According to the poll results, the ordinary resolution regarding the Rights Issue, the Placing Agreement, the Underwriting Agreement, and their associated transactions was approved by 15,231,100 votes (99.39% of votes cast) against 93,001 votes (0.61%), while the special resolution concerning the Whitewash Waiver and related transactions was also approved by the same margin. In total, 78,340,000 shares (approximately 40.8%) held by parties belonging to the Sulfulon Concert Group were required to abstain from voting.
The Executive granted the Whitewash Waiver on 31 October 2025, subject to stipulated conditions. Following the EGM, the Company provided details on its shareholding structure, noting that public shareholders currently hold 113,660,000 shares (59.2%), while the Sulfulon Concert Group holds 78,340,000 shares (40.8%). Upon completion of the Rights Issue under different subscription scenarios, the Company projects the potential expansion of its total issued shares to as many as 288,000,000.
The Company reiterated that the Rights Issue remains conditional upon the Underwriting Agreement becoming unconditional and not being terminated. Any party trading the Company’s shares or nil-paid Rights Shares before these conditions are fully met will bear the risk that the Rights Issue may not proceed.
