Oct 20

China Health Group Limited has implemented a governance realignment effective 20 October 2026, featuring simultaneous changes at both board and senior management levels.

The company accepted the resignation of Ms. Yang Huimin as Independent Non-Executive Director (INED). Ms. Yang, who cited her forthcoming operational role as the reason for departure, confirmed no disagreement with the board and no other matters requiring shareholder attention.

Concurrently, the board appointed Ms. Jiang Li, age 43, as INED for a three-year term commencing 20 October 2026 with an annual director’s fee of HK$0.10 million. Ms. Jiang, an associate professor at Tongji University’s Shanghai International College of Intellectual Property, specialises in intellectual-property and pharmaceutical law and holds a PhD in Law from Bangor University. She meets all independence criteria under Rule 3.13 of the Hong Kong Listing Rules and has no prior directorships in other listed companies over the past three years.

Committee composition has been adjusted accordingly: • Ms. Yang relinquishes her roles as Chair of the Remuneration Committee and member of both the Audit Committee and the Nomination Committee. • Ms. Jiang assumes the chairmanship of the Remuneration Committee and joins the Audit and Nomination Committees as a member.

Effective 1 November 2026, Ms. Yang will become Chief Financial Controller. Her credentials include a Master’s in Management (Nanjing University), non-practising CPA status, and CFA qualification. Ms. Yang previously held senior finance posts at COFCO Property (Group) Co., Ltd. and served two separate terms as China Health’s INED (2016–2018 and 2024–2026), providing her with extensive listed-company experience.

Following these changes, the board now comprises: three Executive Directors (Cao Xu, Chung Ho, Ying Rensi), two Non-Executive Directors (Ying Wei, Huang Lianhai), and three INEDs (Wu Hui, Li Hongyi, Jiang Li). The updated structure maintains the required balance of independent oversight and reinforces financial stewardship through Ms. Yang’s transition to a full-time executive finance role.
