Eastroc Beverage (Group) Co., Ltd. (09980) Announces Partial Over-Allotment Option Exercise, Stabilizing Actions, and End of Stabilization Period

Eastroc Beverage (Group) Co., Ltd. (09980) announced a partial exercise of the Over-allotment Option involving 3,865,800 H Shares, representing approximately 9.45% of the total number of Offer Shares initially available under the Global Offering. These H Shares are issued at HK$248.00 per H Share, and listing for these newly issued shares is expected to begin on March 4, 2026.

After the partial exercise, the company’s share capital consists of 520,013,000 A Shares and 44,755,700 H Shares, for a total of 564,768,700 shares. The company will receive additional net proceeds of around HK$949.05 million from this issuance, which will be allocated in accordance with the plans outlined in the prospectus.

According to the announcement, the stabilization period ended on February 28, 2026. During this period, the Stabilizing Manager and its affiliates conducted over-allocations of 6,133,400 H Shares, open-market purchases totaling 2,267,600 H Shares (in the HK$245.60 to HK$248.00 price range), and partially exercised the Over-allotment Option to facilitate delivery of the delayed subscriptions. The portion of the Over-allotment Option that remained unexercised lapsed on February 28, 2026.

Following the partial exercise and the completion of stabilization actions, Eastroc Beverage (Group) Co., Ltd. has confirmed compliance with the relevant public float requirements, including a publicly held H Share market value over HK$1,000,000,000.
