China Everbright Environment Group Ltd. (EB Environment) has unveiled extensive amendments to its Articles of Association to pave the way for a potential issue and listing of Renminbi-denominated shares (RMB Shares) on the Main Board of the Shenzhen Stock Exchange (SZSE).
The board is seeking shareholder approval, by special resolution at an upcoming general meeting, for a complete restatement of the Articles. The revisions are designed to:
• Add dedicated provisions that govern the issuance, listing, depositary arrangements, transfer and settlement of RMB Shares to be traded in Renminbi on the SZSE.
• Align corporate governance practices with mainland Chinese securities regulations, including the “Opinions on the Pilot Programmes of Innovative Enterprises Issuing Stocks or Depositary Receipts in the Chinese Mainland.” New clauses detail shareholder rights to convene meetings, define board and shareholder authorities, and set higher voting thresholds—such as three-quarters “super-majority” requirements—for key corporate actions including voluntary winding-up, significant asset transactions and amendments to the Articles.
Implementation of the amended and restated Articles is conditional on: 1) shareholder approval of both the revised constitutional document and the Proposed Issue of RMB Shares, and 2) receipt of all necessary regulatory clearances.
Should all approvals be obtained, the new Articles will become effective upon the RMB Shares’ listing on the SZSE. The current Articles remain operative until that time.
A circular outlining the full text of the amendments and convening details for the shareholder meeting is slated for dispatch on or before 16 November 2026.
The company cautions investors that there is no assurance the RMB Share issuance or SZSE listing will proceed, and advises shareholders and potential investors to exercise prudence when dealing in EB Environment shares.
