Unity Enterprise Holdings (2195) Announces EGM Poll Results and Share Consolidation

Unity Enterprise Holdings Limited (Stock Code: 2195) held an Extraordinary General Meeting (EGM) on 24 October 2025. According to the announcement, there were 1,409,523,810 shares in issue, all of which were entitled to vote. Both proposed ordinary resolutions were passed by poll with 100% approval.

The first resolution involved approving, confirming, and ratifying a Sale and Purchase Agreement dated 6 August 2025 among Silver Crest Global Limited, a shareholder, and Newco Construction Engineering Limited. The second resolution authorized the consolidation of every ten issued and unissued shares of HK$0.01 each into one consolidated share of HK$0.1 each.

All conditions for the share consolidation have been fulfilled, with an effective date of 28 October 2025. New share certificates in beige color will replace the existing blue certificates. The board lot size for trading will change from 5,000 existing shares to 10,000 consolidated shares, effective from 12 November 2025.

The announcement stated that odd-lot arrangements will be facilitated by Cheong Lee Securities Limited, offering matching services for those wishing to acquire or dispose of odd lots of consolidated shares from 12 November 2025 to 2 December 2025. Shareholders may exchange existing share certificates for new certificates at no cost from 28 October 2025 until 4 December 2025. All Directors, except for one who was absent, attended the EGM in person or by electronic means.
