DUFU Liquor Group Limited will convene its Annual General Meeting at 10:00 a.m. on 30 September 2026 at Portion 2, 12/F, The Center, 99 Queen’s Road Central, Hong Kong. Shareholders will vote on a comprehensive agenda covering financial approval, board composition, capital mandates and constitutional amendments.
Key agenda items
1. Financial statements • Approval of the audited consolidated results for the year ended 31 March 2026 along with the directors’ and auditor’s reports.
2. Board composition • Re-election of Executive Directors Qin Zhizun and Wei Liang, Non-executive Director Yang Xiaoqing and Independent Non-executive Director Zhang Heng. • Authorisation for the board to appoint additional directors and to determine directors’ remuneration.
3. Auditor • Re-appointment of McMillan Woods (Hong Kong) CPA Limited and authorisation for the board to fix its remuneration.
4. Share repurchase mandate • Directors seek authority to buy back up to 10% of the company’s issued shares on the Hong Kong Stock Exchange or other recognised bourses during the mandate period.
5. Share issuance mandate • Directors request authority to allot and issue new shares representing up to 20% of the issued share capital, excluding rights issues, share-based conversions, option exercises and scrip dividends. • A separate resolution proposes extending this mandate by the number of shares repurchased under the buyback authority, effectively adding up to another 10%.
6. Bye-law amendments • Shareholders will vote on a special resolution to adopt a new set of amended and restated bye-laws, consolidating the proposed changes detailed in the circular dated 7 September 2026.
Administrative details
• Shareholders registered by 4:00 p.m. on 24 September 2026 will be eligible to attend and vote; the register will be closed from 25 to 30 September 2026. • Proxy forms must be lodged with Union Registrars Limited at least 48 hours before the meeting. • Contingency arrangements are in place for severe weather; postponement details would be announced on both the company’s and the HKEX websites.
The board is chaired by Co-Chairperson and Executive Director Liu Jun. As at the notice date, the board comprises four executive directors, one non-executive director and three independent non-executive directors.
