SIMCERE PHARMA (02096) Completes Placement of Existing Shares and Subscription of New Shares Under General Mandate with "Top-up" Arrangement

SIMCERE PHARMA (02096) announced that the placement and subscription transactions were completed on September 4, 2025, and September 10, 2025, respectively. All conditions for the placement have been fulfilled, and the placement was completed on September 4, 2025. A total of 121 million sale shares were successfully placed by the placing agent to no fewer than six placees at a placing price of HK$12.95 per sale share. Additionally, all conditions for the subscription have been satisfied, and the subscription was completed on September 10, 2025. A total of 121 million subscription shares (equivalent to the number of sale shares placed under the placement) were subscribed by the vendor at a subscription price of HK$12.95 per subscription share, which is the same as the placing price. The subscription shares represent approximately 4.66% of the total issued share capital of the company as enlarged by the allotment and issue of the subscription shares upon completion of the subscription.
