Morgan Stanley Unit Sells 0.77 Million Bright Smart (01428) Shares Ahead of Possible Mandatory Offer

18 March 2026 – The Executive, acting under Rule 22 of the Hong Kong Code on Takeovers and Mergers, disclosed that Morgan Stanley & Co. International plc, a Class (5) associate connected with the potential offeror, disposed of Bright Smart Securities & Commodities Group Limited (01428) shares on 17 March 2026.

Morgan Stanley & Co. International plc sold 768,000 ordinary Bright Smart shares through hedging activities related to Delta 1 products arising from wholly unsolicited client-driven orders. The transactions generated total proceeds of HK$11.77 million, reflecting a weighted-average price of approximately HK$15.33 per share, with individual trade prices ranging from a high of HK$16.85 to a low of HK$14.17.

The dealings were executed entirely for Morgan Stanley & Co. International plc’s own account. The disclosure forms part of the ongoing monitoring process linked to a possible mandatory general offer for Bright Smart. Morgan Stanley & Co. International plc is ultimately owned by Morgan Stanley.
